Client Description:

Asset management arm of sovereign wealth-backed conglomerate.

Job Objective:

As a Senior Legal Counsel, you will oversee all legal and regulatory aspects for the relevant business division, focusing on commercial contracts, risk management, compliance, and coordination of legal work for operations, investments, and joint ventures.

Key Responsibilities:

Advise on legal and regulatory matters, ensuring compliance with the UAE and its free zones' legal framework.

Review, advise, and negotiate various commercial contracts and compliance documents, such as distribution agreements, outsourcing agreements, purchase agreements, KYC, AML, etc.

Establish a framework for effective project management of legal work streams, providing timely updates on key projects.

Maintain comprehensive and up-to-date legal records for the business unit.

Advise on corporate governance and compliance with existing and new regulations.

Promote awareness of changes in law and regulations impacting business operations.

Coordinate with internal and international stakeholders, audit firms, and law firms, managing external counsel and supporting legal personnel.

Review, advise, and negotiate investments and joint venture opportunities as requested.

Develop strategies to protect intellectual property rights.

Advise and coordinate dispute resolution matters.

Profile:

Qualifications:

Qualified in the UK, US, or analogous jurisdiction.

Experience:

Minimum of 6 years of post-qualification legal experience, with at least two years in a Tier 1/Magic Circle international law firm.

Knowledge of the legal and regulatory framework of the UAE and its free zones.

Preferred experience in family office setting, M&A, private funds, or government/sovereign investment practice.

Experience working with governmental organizations in the UAE, including SWF investors.

Experience with 3C licensed investment funds (in the UAE or globally).
