Job Description
Job Title: E&T Consultant - Legal Analyst
Amman serves as a regional hub for the International Finance Corporation (IFC), supporting broader regions including Turkey, Dubai, and Vienna, among others. The Legal Analyst will be an integral part of the legal team, working closely with regional and international legal and business teams, including those in Washington DC.
Roles and Responsibilities:
- Documentation Preparation: Prepare and manage documentation for internal and external matters, including powers of attorney, proxies, signature designations, counsel retainer letters, and Article III notices.
- Legal Documentation: Assist IFC in-house counsel in preparing, reviewing, and amending legal documentation for debt, equity, or funds, including routine amendments, consents, and waivers.
- Business Development: Review confidentiality agreements and other business development documents, advising on these agreements as needed.
- Loan Agreements: Draft single loan agreements based on IFC specimen documents and guidelines, amend as necessary, and negotiate these forms with clients on smaller transactions under supervision.
- External Counsel Liaison: Coordinate with IFC external counsel on projects and retainer arrangements.
- Transaction Management: Oversee the signing of transaction documents and completion of conditions for disbursement. Ensure proper filing of transaction documents in accordance with IFC guidelines.
- Portfolio Administration: Manage routine administration of IFC’s debt and equity investments.
- Upstream and Advisory Matters: Assist IFC counsel with tasks related to upstream and advisory matters, handle and review transaction documents, and follow up on agreements.
- Local Currency Offerings: Support IFC counsel with local currency offerings and other IFC treasury products.
- Legal and Policy Analysis: Identify and analyze legal and policy issues associated with investment or advisory projects.
- Knowledge Management: Contribute to and support CLED’s Knowledge Management objectives.
Selection Criteria:
- Language Skills: Strong oral and written communication skills in English; knowledge of Arabic, Turkish, Ukrainian, and/or Russian is a plus.
- Communication Skills: Ability to present written and oral ideas clearly, concisely, and persuasively.
- Legal Assistance: Capable of providing effective legal assistance through multiple, concurrent assignments and tasks.
- Problem Solving: Excellent problem-solving, analytical, and research skills with strong attention to detail.

- Education and Experience: An undergraduate degree, preferably in law; ideally 3-4 years of professional experience in a law firm or similar capacity with legal documentation handling.
